This role is generally expected to be able to work during standard core hours (i.e. 9am to 5pm)  with flexibility to work some non-standard hours to support Board and Committee meetings as scheduled.

Job Summary

This role plays a critical role in ensuring the sound governance of IIBA. Reporting directly to the Director, Human Resources, this role provides operational and professional support to the Chief Financial and Administrative Officer (CFAO), Chief Executive Office (CEO), and the Board of Directors, in order to prepare, coordinate and run effective Board/Committee meetings.

Responsibilities

Provide operational board governance support by performing the following:

  • Maintain the annual board calendar of all board and committee meetings, manage meeting invites, and maintains attendance records for all meetings. Ensure that all board an committee meetings run smoothly, including virtual room set-up and coordinating attendance with meeting guests.
  • Prepare draft meeting agenda and work with members of management and board/committee chairs to finalize meeting agendas.  Post all meeting materials in advance of meetings, as provided by internal staff or board members.
  • Draft accurate minutes of all Committee/Board Meetings, including appropriate details on motions, follow-up actions, key discussion topics, etc, and track the status of action items
  • Support with the maintenance of Corporate Records and Annual Corporate filings with Industry Canada.
  • Maintain virtual record storage for Board access to all materials, meeting minutes and presentations, governance policies and related documents, committee documents, reference materials as required, while maintaining stylistic consistency and version control.
  • Coordinate progress updates relating to the 3-year strategic plan (governance framework)
  • Support alignment, updates and organization of strategic plan implementation
  • Work collaboratively with the Marketing department in coordinating the Annual General Meeting and other board events, including in-person board meetings/retreats
  • Serve as the first point of contact for Directors and facilitate communication between the board and management. Support Directors as required (may include circulation of documents, locating reference materials, etc).
  • Coordinate the onboarding of new Directors

Provide professional support of a confidential, strategic and/or specialized nature:

  • Prepare/edit speaker presentations & notes for CEO public engagements and Board meetings frequently of a confidential, strategic and/or specialized nature ensuring completed material is produced in a timely manner.
  • Support content and preparation of monthly Executive Team reporting to the Board
  • Assist with the preparation of presentations and management reporting.

Provide administrative support:

  • Manage IIBA subscriptions
  • Track, monitor, follow up and report on:
    • annual mandatory training requirements
    • annual acknowledgements from

Qualifications

  • Post-secondary education with a concentration in Administration, Business, Law, or a related discipline; additional corporate secretary or governance educational courses or certifications would be an asset
  • 5 years’ of related Board & Governance experience, including meeting minute taking
  • Ability to maintain and preserve strict confidentiality
  • Must be fully versed in Microsoft Office suite of products including, word, excel, and outlook with exceptional powerpoint skills
  • Familiarity with Microsoft Teams
  • Excels at communications (both verbal and written) with all levels of management/employee
  • Self-directed worker with the ability to work in a team environment when required
  • Thrives in a fast-paced environment while maintaining a high level of professionalism, accuracy and detail
  • Demonstrates curiosity, problem solving, judgment and decision-making ability
  • Previous experience providing administrative/board support to senior leaders is a definite asset.
  • Experience working from and supporting a remote/virtual work environment is preferred
