We Matter is an Indigenous-led and youth-centered organization and registered charity dedicated to Indigenous youth support, hope and life promotion. Our mission is to communicate to Indigenous youth that they matter and create spaces of support for those going through a hard time while fostering unity and resiliency.

 

Our founding project, the We Matter Campaign, is a national multi-media campaign in which Indigenous role models and allies from across Canada submit short videos, written and artistic messages sharing their own experiences of overcoming hardships, and communicating with Indigenous youth that no matter how hopeless life can feel, there is always a way forward.

The Board Chair leads the Board of Directors who together, provide management oversight and policy guidance to the Managing Director, who undertakes the day to day management of We Matter.

Qualifications

 

Please note that this position is suited for an Indigenous (First Nation, Métis, Inuit) person. To be eligible for the position of Board Chair, candidates must meet the following criteria:

 

You must

  • Have recent experience in Board Governance
  • Have good knowledge of the Canada Not for Profit Corporations Act
  • A commitment to, and a clear understanding of the mission and operation of We Matter
  • Ability to communicate effectively both verbally and in writing
  • Ability to manage crises and resolve unexpected situations
  • Ability to negotiate and resolve difficult situations
  • Act with diplomacy and exercise good judgment and leadership
  • Demonstrate exceptional people skills.
  • Be willing to abide by the Board of Director Policies and Procedures and We Matter’s Guiding Principles
  • Be of good character and credible
  • Possess a clean criminal record
  • Provide confirmation that you are not deemed as being “undischarged bankrupt”

You should have

  • Knowledge and understanding of Indigenous youth in Canada
  • Experience working with Indigenous (First Nation, Métis, and Inuit) young people or communities
  • Willingness to commit to the mission, success and sustainability of We Matter
  • Commitment to Board development and learning processes
  • Clear agreement with the principle of keeping business separate from politics/governance
  • The ability to network with communities, organizations and partners who share an interest in the success of We Matter
  • Willingness to work collaboratively with Board members, the Managing Director and Operational Leadership Team, and other key stakeholders
  • Passion for the work we do at We Matter
  • A commitment to being a collaborator and working well in a group
  • Ability to participate actively, efficiently, collegially, and if needed, assertively, in deliberations.

 

To ensure the Board Chair has the necessary skill set to discharge their duties properly and completely, candidates will complete Board Competency Matrix to evaluate how they satisfy the components that make up a successful Board Chair.

 

Responsibilities

  • Ensure that the Board of Directors and its members are aware of, and fulfill their governance responsibilities, comply with applicable laws and bylaws, conduct board business effectively and efficiently, and will hold overall accountability for their performance
  • Help guide and mediate Board actions concerning organizational priorities and governance concerns
  • Chair meetings as per Roberts Rules of order and ensure effective time-keeping
  • Contribute to Board discussion through commentary on proposed policies and practices
  • Provide orientation to new Board members on established practices and duties
  • Review meeting minutes
  • Plan the annual cycle of and coordinate Board meetings as per the bylaws
  • Prepare recommendations for Board consideration
  • Prepare recommendations to members for changes to bylaws and policies
  • Represent the organization at community meetings and event
  • Attend quarterly meetings, or as needed based on business requirements
  • The Chair, along with the directors will develop, approve and maintain long-term organizational plans, long-term strategic plans and annual operations plans for We Matter
  • Be the point of contact/ direct line for the Managing Director
  • Lead communication with the operational & leadership team through the Managing Director
  • Hold co-signing authority with the Treasurer
  • Coordinate with We Matter’s legal advisors/team as needed 
  • Expected time commitment for this role is about 3 - 4 hours per month but may vary.

 

Honorarium

 

Each Director will receive $150 per quarterly meeting.
