Mission Statement:

HepNS is a charitable organization that reduces the impact of hepatitis through support, information, and education.

Overview:

Members of the Board of Directors (BoD) are the fiduciaries who steer HepNS towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, and helping to secure adequate resources to advance its mission.  We are primarily an advisory board, allowing the staff to carry out the work while we provide guidance and supervision.

Directors help influence and direct the future of HepNS by:

  • Providing guidance and supervision to the Executive Director. 
  • Ensuring the appropriate and fair use of all assets, including people
  • Ensuring that all activities advance its mission
  • Recognizing and disclosing conflicts of interest and making decisions that are in the best interest of HepNS (not in the best interest of the individual board member or any other individual or for-profit entity).
  • Ensuring compliance with applicable laws and regulations; follows its own bylaws; and adheres to its stated mission

Membership:

The BoD has up to 15 voting members. Terms are for 2 years. Directors represent a range of experiences, histories, and skill sets. We are actively seeking Directors who better reflect the diversity of the communities in which we work and live and who represent the populations affected by hepatitis in Nova Scotia.

Commitment:

Directors provide their time and expertise either through lived and/or professional experience.  All are expected to:

  • attend monthly BoD meetings (currently held virtually)
  • attend any special meetings called by the chair as needed.
  • volunteer for subcommittee work as needed
  • represent Hep NS and to promote the work of HepNS as needed.
  • Outside of meetings, directors may spend 1 to 2 hours a month (as needed) completing tasks on behalf of Hep NS, while executive members (role descriptions below) may spend 1 to 4 hours a month (as needed)
